Events
On June 26, 2008, INX Inc. (the “Company”) closed its
previously announced registered direct offering of 900,000 shares of the
Company’s common stock to certain institutional investors at a price of $11.00
per share. The Company received gross proceeds from the offering of
approximately $9.9 million and net proceeds, after deducting the placement
agent’s fee and other estimated offering expenses, of approximately
$9.0 million. INX issued a related press release, dated June 26, 2008,
announcing the consummation of the transaction. The press release is being filed
as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated
herein by reference.
